Introduction
These Terms and Conditions ("Terms") govern the access and use of the Pitchroom platform ("Platform") provided by Pitchroom ApS ("Pitchroom", "we", "us", or "our"), a company registered in Denmark with CVR number 46441222. By creating an account or using the Platform, you agree to these Terms.
Pitchroom is strictly a Business-to-Business (B2B) and Business-to-Government (B2G) service. By agreeing to these Terms, you warrant that you are acting on behalf of a registered business or government entity, and not as a consumer.
The Service
Pitchroom provides a digital framework for companies to raise capital. The Platform allows users to create accounts, upload pitch decks and video content, share materials with potential investors, and track engagement and viewing metrics. Pitchroom is a software provider and does not provide financial, legal, or investment advice, nor do we guarantee any fundraising success.
Account Registration and Access
User Accounts
You must provide accurate information when creating an account. You are responsible for safeguarding your login credentials.
Partner Accounts
If your account is provisioned and paid for by a third-party partner (e.g., an agency or advisor), these Terms still apply to your use of the Platform.
Free Trials
We may offer free trial periods. At the end of the trial, access will be restricted unless a paid subscription is activated.
Payments and Subscriptions
Fees
Access to premium features requires a paid subscription. Fees are billed in advance based on the selected plan.
Payment Methods
Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By providing payment details, you authorize Paddle to charge the applicable fees.
Auto-Renewal
Subscriptions automatically renew at the end of the billing cycle unless canceled prior to the renewal date. You can cancel your subscription at any time through your account settings or by contacting Paddle.
Refund Policy
We offer a 14-day money-back guarantee. If you are unsatisfied with the Platform for any reason, you are entitled to a full refund if requested within 14 days of your initial transaction.

Refunds will be processed back to the original payment method. After this 14-day period, fees are generally non-refundable, except where required by applicable law. For UK and EU users, this 14-day period specifically aligns with your statutory right to withdraw from a digital service contract.
Intellectual Property and User Content
Your Content
You retain full ownership of all pitch decks, videos, text, contact lists, and other materials you upload to the Platform ("User Content").
License to Pitchroom
You grant Pitchroom a non-exclusive, worldwide, royalty-free license to host, store, and display your User Content solely for the purpose of operating the Platform and delivering the service to you and your designated recipients.
User Responsibility
You warrant that you own or have the necessary licenses to upload and share the User Content. You are strictly responsible for ensuring your content does not violate any third-party intellectual property rights, breach confidentiality agreements, or violate applicable laws.
Data Processing and GDPR
Pitchroom as Controller
We act as a Data Controller for your account information (e.g., your name, email, billing details). This is governed by our Privacy Policy.
Pitchroom as Processor
Because you may upload third-party data (e.g., investor contact lists) and track their engagement, Pitchroom acts as a Data Processor for this information. The processing of this data is governed by our Data Processing Agreement (DPA), which is incorporated by reference into these Terms. By accepting these Terms, you also accept the DPA.
Acceptable Use
You agree not to use the Platform to:
- Distribute unlawful, defamatory, or fraudulent material.
- Send unsolicited spam to investors or users.
- Attempt to breach the security of the Platform or access data belonging to other users.
Limitation of Liability
To the maximum extent permitted by Danish law, Pitchroom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.
In any event, Pitchroom's total liability to you for all claims arising out of or relating to these Terms shall be limited to the amount you paid to Pitchroom in the twelve (12) months preceding the claim.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts, with the City Court of Copenhagen (Københavns Byret) as the court of first instance.
